Matthew C. Sferrazza was recently quoted in an edition of the Daily Journal’s Capital & Counsel Newsletter, “SEC’s rule blitz: Four proposals, big changes,” discussing four significant SEC proposals affecting companies, investors, and law firms.

While the proposal to make quarterly reporting optional has received the most attention, the newsletter also examines two less-visible measures aimed at lowering the cost of raising capital for smaller companies, expanding access to shelf registration, and simplifying filer status and reporting requirements.

Sferrazza told the Daily Journal the two proposals could create “a very fundamental shift” and encourage companies that might otherwise remain private or be acquired to enter the public markets.

“It could be very helpful for smaller companies that are trying to grow while having access to public capital,” he said, adding that the changes could make public markets more competitive with private capital.
